1. Acceptance of Terms

By accessing and using Zanoha Services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Service Nature and Limitations

Zanoha provides an e-commerce platform infrastructure that allows sellers to create online stores, list products, and process transactions. Our services include store management tools, payment processing, and customer management features.

  • Platform Provider Only: Zanoha acts solely as a service provider for store infrastructure. We are not legally responsible for certification, licensing, or regulatory permissions required for products sold in specific countries.
  • Product Compliance: Store owners are solely responsible for ensuring their products comply with all applicable laws, regulations, and ministry requirements in their respective jurisdictions.
  • No Financial Custody: Zanoha does not hold or manage funds on behalf of store owners. Payment processing is facilitated through third-party providers, and store owners are responsible for their own financial management.
  • Prohibited Items & Content Standards
  • Strictly Prohibited:
    • Illegal goods or substances
    • Counterfeit or unauthorized replicas
    • Regulated items without proper licenses or certifications
    • Products posing safety hazards or health risks
    • Any items violating applicable laws or regulations
  • Account Suspension: We reserve the right to suspend or terminate accounts that violate these terms.
  • These standards demonstrate our commitment to legal compliance and platform integrity.

3. User Responsibilities

  • Maintain confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Provide accurate and complete information during registration
  • Not use the service for illegal or unauthorized purposes
  • Ensure all listed products comply with local and international laws

4. Store Owner Obligations and Liabilities

  • Provide accurate product descriptions, pricing, and specifications
  • Process orders and fulfill them in a timely and professional manner
  • Handle customer service inquiries, disputes, and returns directly
  • Comply with all applicable laws, regulations, and industry standards
  • Pay all applicable fees and commissions by the due date (5th of each month)
  • Loss Responsibility: Any loss of product, revenue, or customer funds is the sole responsibility of the store owner. Store owners must handle refunds and customer disputes directly.
  • Financial Management: Store owners must maintain sufficient funds to cover operational costs and potential refunds.

5. Fees, Payments, and Billing

You agree to pay all fees associated with your selected plan as outlined in your subscription agreement.

  • Payment Schedule: Service fees are due monthly by the 5th day of each month for the previous month's service.
  • Commission Qualification: Orders qualify for commission calculation once marked as "paid" by the store owner in the system.
  • Payment Failure: Failure to pay service fees by the due date may result in immediate store suspension, termination of services, and potential legal action to recover outstanding amounts.
  • Non-Refundable: All fees are non-refundable unless otherwise required by law or specifically stated in your plan agreement.
  • Late Fees: Late payments may incur additional fees as specified in your service agreement.

6. Financial and Transaction Management

  • No Escrow Services: Zanoha does not provide escrow, holding, or guarantee services for transactions.
  • Transaction Responsibility: Store owners are fully responsible for all transactions processed through their stores, including but not limited to product delivery, quality assurance, and customer satisfaction.
  • Dispute Resolution: Store owners must handle all customer disputes, complaints, and refund requests directly. Zanoha may provide mediation services at its discretion but is not obligated to do so.
  • Tax Compliance: Store owners are responsible for collecting, reporting, and paying all applicable taxes, duties, and fees associated with their sales.

7. Intellectual Property Rights

You retain all rights to your store content, including product images, descriptions, branding, and customer data. By using our service, you grant Zanoha a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content in connection with providing the service.

8. Service Termination and Suspension

  • By Zanoha: We may suspend or terminate your account immediately for violation of these terms, non-payment of fees, illegal activities, or if required by law.
  • By User: You may terminate your account through your account settings or by contacting customer support.
  • Post-Termination: Upon termination, you must settle all outstanding fees. We may retain store data for legal compliance purposes as outlined in our Privacy Policy.
  • Termination for Non-Payment: Stores terminated for non-payment may incur reinstatement fees if services are resumed.

9. Limitation of Liability and Disclaimers

Zanoha provides services "as is" and "as available" without warranties of any kind, either express or implied.

  • No Financial Liability: Zanoha shall not be liable for any financial losses, lost profits, lost data, or indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.
  • No Product Liability: Zanoha is not responsible for the quality, safety, legality, or delivery of products sold through our platform.
  • No Regulatory Compliance Guarantee: Zanoha does not guarantee that your store or products comply with any specific regulatory requirements in your jurisdiction.
  • Service Interruptions: Zanoha is not liable for service interruptions, downtime, or data loss resulting from maintenance, technical issues, or force majeure events.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zanoha, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the service, your violation of these terms, or your products and business activities.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the service interface at least 30 days before changes take effect. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the jurisdiction specified in your service agreement.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
